Shares of Sadot Group (SDOT) climbed 29.50% to $32.76 during premarket hours on Monday, July 20, driven by a series of significant corporate developments that emerged over the previous week.

The primary driver: Sadot’s $6 million acquisition of TradeIQ from Hong Kong-based Litial Ltd., which closed on July 14. TradeIQ functions as an advanced predictive-intelligence software solution designed to integrate with commodity trading and risk management systems.

The transaction encompasses TradeIQ’s complete source code, proprietary models, training data, data processing pipelines, and comprehensive technical documentation. As part of the agreement, Litial agreed to a two-year non-compete clause within the CTRM sector.

Sadot structured the purchase with $50,000 cash, 200,000 newly created common shares assessed at $2 million, plus 3,950 Series C preferred shares carrying a combined stated value of $3.95 million.

The Series C preferred shares feature a 6% cumulative annual cash dividend that escalates to 9% upon specific default triggers, and hold senior status over common equity. These shares are non-convertible and carry no voting rights, providing Sadot with structural flexibility while avoiding immediate cash flow strain.

Major $200 Million Financing Package

In addition to the acquisition, Sadot finalized arrangements for potential funding of up to $200 million through multiple channels.

Last Thursday, the company completed the initial $4 million draw from a senior-secured convertible notes facility with a maximum capacity of $100 million. These instruments bear an 8.25% annual interest rate, come due on July 16, 2028, and feature a conversion price set at $17.81 per share.

Additional funding draws require shareholder authorization, registration statement effectiveness, adequate trading volume, and continued Nasdaq listing status.

The company simultaneously established a separate equity purchase agreement enabling Sadot to issue up to $100 million in new common shares on an as-needed basis.

Litigation Settlement Removes Overhang

On Friday, Sadot disclosed the resolution of litigation with Helena Global in the U.S. District Court for the Southern District of New York. Under settlement terms, Sadot will pay $350,000 in cash with mutual releases granted.

Critically, the settlement agreement terminates an existing $10 million equity-line facility. This elimination removes a significant potential dilution source that had been weighing on common shareholders.

Earlier this month, the company also executed debt-for-equity swaps that eliminated approximately $3.36 million in outstanding liabilities.

These developments follow a May 5, 2026 notification from Nasdaq indicating Sadot had fallen below the exchange’s $2.5 million minimum stockholders’ equity threshold.

Company leadership now projects that the cumulative impact of the TradeIQ transaction, Series C preferred stock issuance, asset sales, and debt conversions has pushed adjusted stockholders’ equity above $7 million — potentially satisfying compliance standards.

However, this assessment awaits independent audit verification and final Nasdaq approval. The threat of delisting has not been completely eliminated.

During Monday’s premarket session, SDOT traded at $32.76, representing a 29.50% gain.
