Shares of eToro (ETOR) experienced a significant decline Tuesday following the digital trading platform’s second-quarter 2026 financial results, which fell short of analyst projections, compounded by news of a substantial acquisition that unsettled market participants.
The company’s shares tumbled over 11% during regular trading hours. Prior to the opening bell, shares were already sliding approximately 4.4% in pre-market activity after eToro revealed adjusted diluted earnings per share of $0.68, surpassing the $0.61 consensus estimate, though net income of $53 million underperformed the anticipated $55.1 million figure.
The disconnect between the positive EPS surprise and the profit disappointment created an ambiguous market signal early in the session.
To put this in perspective, eToro recorded $30 million in net income during Q2 2025, demonstrating genuine annual expansion. However, investor expectations had anticipated stronger performance, triggering an immediate negative response.
Concurrent with its quarterly report, eToro disclosed plans to purchase TradeZero, a U.S.-oriented brokerage platform catering to high-frequency traders. The transaction carries a maximum valuation of $231 million, structured as a combination of cash and as many as 2.5 million newly created Class A eToro shares.
The equity component of the deal sparked immediate shareholder dilution worries. Investors rapidly incorporated this risk into pricing, compounding the downward momentum already triggered by the earnings disappointment.
TradeZero recorded approximately $80 million in revenue during the trailing twelve months and will provide eToro entry into the Canadian marketplace. Completion of the transaction is projected for the first half of 2027, subject to regulatory clearance.
Chief Executive Yoni Assia characterized the acquisition as an accelerator for product deployment to American clients. “This combination gives us a faster path to launching new products for U.S. customers and strengthens our offering,” he stated.
The TradeZero purchase represents eToro’s third signed acquisition during 2026, prompting shareholder scrutiny regarding the company’s capital allocation velocity.
eToro’s accounts containing deposits climbed 18% annually to 4.28 million, while total assets under administration expanded 10% to $19.2 billion. These operational metrics demonstrate healthy expansion.
However, cryptocurrency trading activity, representing a significant revenue source, continues deteriorating. During July 2026, aggregate crypto transactions totaled 1.4 million, declining 73% compared to the prior year. The average invested amount per transaction dropped 50% to $182.
The iShares Bitcoin Trust ETF has declined 46% across the past twelve months, illustrating the wider digital asset market contraction affecting eToro’s operations.
Net contribution advanced 9% year-over-year to $229 million, though this marked a deceleration from first-quarter growth rates.
Market conditions were not the culprit. The S&P 500 advanced 0.2% while the Nasdaq gained 0.4% Tuesday, indicating the selloff was exclusively eToro-related.
Management indicated the TradeZero transaction should contribute positively to adjusted earnings per share during the initial year following deal completion.
