Hyperscale Data (GPUS) revealed on Tuesday that it has entered into a Master Services Agreement with a California neocloud enterprise to provide AI colocation and data center infrastructure at its Michigan location.

Shares of GPUS declined 10.59% during Tuesday’s session, closing at $0.2557, even as the company announced the substantial agreement.

The arrangement includes an initial rollout of 20 megawatts dedicated to AI computing infrastructure, with operations anticipated to begin in the fourth quarter of 2026. The MSA establishes a base 10-year commitment with two additional five-year renewal periods available.

Should the partner utilize the complete 20-year duration, projected revenue from the agreement exceeds $1.2 billion.

The partnership additionally provides the client with expansion privileges to increase total capacity to 52 megawatts. A supplementary 32-megawatt allocation exists under a distinct provision, which if activated within the initial two years and maintained through both extension cycles, would drive aggregate contract revenue beyond the $3.0 billion threshold.

Alliance Cloud Services, a wholly owned indirect subsidiary of Hyperscale Data, is undertaking renovations of approximately 60,000 square feet at the Michigan campus to accommodate the partner’s requirements. Projected expenditure for the initial 20-megawatt deployment ranges between $100 million and $120 million.

CEO William Horne stated the Michigan facility is “positioned to offer a top-tier AI compute environment,” noting that revenue-generating services could potentially launch “as soon as late September 2026.”

Transitioning From Cryptocurrency Operations

As artificial intelligence infrastructure becomes operational, Hyperscale Data intends to incrementally reallocate power resources at the Michigan campus currently dedicated to Bitcoin mining. The facility presently operates approximately 28 megawatts of Bitcoin mining infrastructure.

Bitcoin mining activities will persist at the company’s Montana location. Limited mining operations may continue at the Michigan site throughout the transition period.

The organization currently maintains holdings of 726.9 bitcoin, with an approximate value of $45.9 million. An active $300 million at-the-market equity offering program through Spartan Capital Securities is also in place.

Financial Scope of the Partnership

The magnitude of this MSA is particularly noteworthy considering Hyperscale Data’s present financial position. The organization maintains a market capitalization of approximately $124 million and generated $121 million in revenue during the trailing twelve months.

The company also carries outstanding debt of $113 million, and InvestingPro analysts have noted that the firm is experiencing cash depletion — a consideration that may impact its capacity to fund the $100-120 million infrastructure development.

Executive Chairman Milton “Todd” Ault III characterized the agreement as “a significant milestone,” expressing the company’s ambition to ultimately establish more than 300 megawatts of comprehensive power capacity at the Michigan campus.

The organization emphasized that any expansion beyond the foundational deployment remains contingent and depends on obtaining regulatory clearances, securing financing arrangements, confirming infrastructure availability, and finalizing utility partnerships.

Hyperscale Data’s most recent disclosure indicated the acquisition of 8 bitcoin through open market purchases during the week concluding June 21.
