Trading commenced on September 1, 2026 under the ticker symbol “SGLD” on the Nasdaq Capital Market.

Each American Depositary Share represents 20 common shares of the company. The Bank of New York Mellon is serving as depositary for the program.

The Nasdaq listing was structured through an ADS program rather than a direct listing. This allowed Scorpio Gold to meet Nasdaq’s initial listing requirements without needing a share consolidation.

That means the existing capital structure remains intact. Current shareholders on the TSX Venture Exchange, OTCQB, and Frankfurt Stock Exchange are not affected.

The company’s common shares continue to trade on the TSX Venture Exchange, now also under the symbol “SGLD.” They also remain listed on the OTCQB Venture Market under “SRCRF” and the Frankfurt Stock Exchange under “RY9.”

What the ADS Program Means for Investors

Investors can convert common shares into ADSs at any time through their broker. The conversion ratio is one ADS for every 20 common shares.

To make the transition smoother, ADS issuance fees have been waived through November 25, 2026. Conversion is optional, giving shareholders flexibility in how they hold their exposure.

CEO Zayn Kalyan said the Nasdaq listing is “a defining milestone” for the company. He added that a single “SGLD” symbol on both sides of the border gives investors “one clear identity” as the company enters its next phase.

Scorpio Gold’s Nevada Focus

Scorpio Gold is a gold exploration and development company focused on assets in the Walker Lane Trend of Nevada.

The company holds a 100% interest in the Manhattan District, a roughly 4,780-hectare property. It includes the Goldwedge mine and four past-producing pits acquired in 2021.

The site has established permits, water rights, and extensive historical drilling.

Scorpio Gold carries a current market cap of approximately C$104.5 million. Average daily trading volume on the TSX side stood at around 267,601.
