SurgePays stock jumped 34.59% after hours to $0.22 on Thursday after the company announced the sale of several business units to GPO Plus for $27.5 million. The stock had closed the regular session at $0.16, down 4.69%.

The deal covers SurgePays’ ClearLine point-of-sale engagement platform, its Managed Marketing Services platform, and its GPOX Wireless MVNO business. The buyer is ClearLine Apps, a subsidiary of Las Vegas-based GPO Plus.

Trading volume in the regular session hit 77.95 million, roughly 3.3 times the stock’s average volume of 23.66 million. The after-hours move came after the announcement landed post-close.

The agreement was signed on September 7, 2026, and closed on September 10. SurgePays received 25 million shares of GPO Plus Series D Preferred Stock as the full payment.

To protect the value of that payment, SurgePays secured a put option with Emerald Shoals Targeted Opportunities Fund LP. The option lets SurgePays sell the preferred stock, or converted common stock, back to the fund for the full $27.5 million over a window of three years and 90 days.

What SurgePays Gets Out of the Deal

CEO Brian Cox called it a “win-win for both companies and their shareholders,” pointing to strong recent MVNO valuations. He said the transaction strengthens the company’s balance sheet and lets it focus on its core prepaid wireless and fintech operations.

Those operations serve approximately 138 million subprime U.S. consumers. SurgePays views that customer base as its primary growth lane going forward.

GPO Plus also issued Emerald Shoals a five-year warrant for 15 million common shares, split across three price tranches, as part of the closing terms.

Nasdaq Compliance Gets a Boost

One of the more immediate impacts of the deal is what it does for SurgePays’ Nasdaq standing. Closing the transaction pushed the company’s stockholders’ equity above both Nasdaq’s continued and initial listing thresholds.

SurgePays said it plans to notify Nasdaq and pursue remedies for its remaining bid price deficiency, which could include a reverse stock split.

The company has a market cap of around $8.84 million. Its 52-week range runs from $0.15 to $3.14, and the stock has fallen 94.19% over the past 12 months.

SURG currently has an RSI of 36.72 and approximately 52.91 million shares outstanding. The most recent analyst rating on the stock is a Buy with a $3.50 price target.
