TSMC and Sony Group announced Tuesday they will form a joint venture to develop and manufacture next-generation image sensors in southern Japan.

The combined investment totals $4.69 billion. Sony will contribute around 465 billion yen ($2.92 billion) through cash and asset transfers. TSMC will put in around 282 billion yen, bringing the total capital to 747 billion yen.

Sony will be the controlling shareholder and the venture is expected to operate as a Sony subsidiary.

TSMC stock was down 0.37% on the day. Sony was up 1.53%.

The new company will be called Advanced Vision Semiconductor Manufacturing Corp and will be headquartered in Kumamoto prefecture, where TSMC already runs its Japan Advanced Semiconductor Manufacturing plant.

Capital contributions will be made in phases, based on market demand and business conditions.

Sony Takes the Lead on Technology

Under the deal, Sony will lead development of core image sensor technologies, as well as product planning and design. TSMC will bring its manufacturing expertise and advanced process technology to get the venture to mass production.

The facility will focus on image sensors for smartphones. Mass production is expected to begin in 2029.

The companies said they are also considering additional funding on the assumption that Japanese government support will be available to reach full planned capacity.

TSMC’s Role in the Venture

TSMC’s involvement centers on process technology and manufacturing know-how rather than product design. This structure allows Sony to retain control over the commercial side while leveraging TSMC’s chip production capabilities.

The two companies first announced plans for this venture back in May. Tuesday’s announcement confirmed the full financial details and formal structure.

Sony has been investing heavily in its image sensing business as demand for machine vision grows in artificial intelligence applications. The joint venture is partly designed to limit Sony’s standalone capital expenditure while still scaling up production capacity.

The Kumamoto location connects directly to TSMC’s existing Japanese footprint, giving the venture immediate access to established infrastructure.

The companies did not give a specific production volume target, saying capital contributions would depend on market demand and other business conditions going forward.
