Crinetics stockholders will receive $85 per share. Unvested equity awards will vest and be cashed out, while deeply out-of-the-money options will be cancelled without payment.

Both boards have unanimously approved the deal. It still requires Hart-Scott-Rodino antitrust review, foreign regulatory clearances, and majority shareholder approval before closing.

A termination fee of approximately $350 million applies under certain circumstances.

Vertex plans to finance the transaction using a mix of its existing cash and new debt. The company has secured a $4.5 billion, 364-day unsecured bridge loan commitment from a bank syndicate, though closing is not contingent on financing availability.

What Vertex Gets from the Deal

The acquisition gives Vertex two key oral endocrinology assets. PALSONIFY is an FDA- and EMA-approved once-daily oral therapy for adults with acromegaly. It launched in the U.S. in October 2025 and was the first oral treatment approved for the condition.

Atumelnant is a once-daily oral ACTH receptor antagonist in late-stage development for congenital adrenal hyperplasia. It is also in Phase 2 trials for ACTH-dependent Cushing’s syndrome.

Beyond those two drugs, Crinetics brings a preclinical pipeline targeting thyroid eye disease, Graves’ disease, and hyperparathyroidism.

Vertex’s Strategic Move into Endocrinology

Vertex says the deal positions it to tap a specialty endocrine market with unmet patient need. The company expects the acquisition to potentially accelerate revenue growth and improve its long-term earnings profile.

VRTX stock was trading up 0.29% at the time of the announcement. The most recent analyst rating on VRTX is a Buy with a $550 price target.

Crinetics, headquartered in San Diego, was a clinical-stage biopharma focused on small-molecule, oral treatments for rare endocrine disorders. Under the deal, it will become a wholly owned subsidiary of Vertex.

Vertex’s current market cap sits at approximately $134 billion.
