Metaplanet launched its BitBonds program and raised about ¥200 million through four private bond placements. The financing gives Metaplanet another funding channel as it expands its Bitcoin-focused capital strategy.

Metaplanet launches BitBonds with four private placements

Metaplanet introduced BitBonds on August 13 as a continuous issuance program for senior unsecured ordinary bonds. The company completed its 21st through 24th bond series under Japan’s small-number private placement framework. Together, the four placements raised approximately ¥200 million, equivalent to roughly $1.3 million.

The bonds carry annual interest rates ranging from approximately 4% to 4.3%. Each series has a maturity of roughly three years and operates as a separate security. Metaplanet Securities managed the placements through its regulated Japanese securities platform.

Solicitation started in late July and ended after Metaplanet completed the inaugural issuance. Future bonds may carry different interest rates, maturities and issue sizes based on funding requirements. The company will also assess market conditions and demand before establishing terms for each new series.

BitBonds expand Metaplanet’s financing options

Metaplanet plans to use BitBonds alongside common shares, preferred shares and equity-linked instruments. This structure adds recurring fixed-rate debt to the company’s broader capital management framework. It also reduces reliance on isolated large bond transactions when Metaplanet requires additional funding.

The inaugural BitBonds remain unsecured, unguaranteed and unrated, according to the company’s disclosure. Metaplanet has not pledged Bitcoin or other corporate assets as security for these bonds. Bondholders therefore depend on the company’s overall creditworthiness for interest payments and principal repayment.

Bitcoin still influences that credit profile because digital assets represent the company’s largest balance-sheet position. Changes in Bitcoin’s market value can therefore affect the company’s financial strength and repayment capacity. However, bondholders receive fixed contractual payments instead of direct exposure to Bitcoin price movements.

Bitcoin holdings remain central to balance sheet strategy

Metaplanet reported 43,000 BTC holdings as of June 30, maintaining one of Asia’s largest corporate Bitcoin reserves. The company reported total assets of ¥418.18 billion and net assets of ¥340.88 billion. It had also drawn $414 million from a separate $500 million Bitcoin-collateralized credit facility.

First-half net sales increased 133.7% year over year to ¥4.94 billion. Operating profit climbed 136.3% to ¥3.33 billion during the same reporting period. However, a ¥184.30 billion noncash Bitcoin valuation loss pushed the company toward a ¥182.77 billion net loss.

Metaplanet expects its securities subsidiary to remain the main distribution channel for future BitBonds. The subsidiary will handle applications, allocations and administration while applying its eligibility standards. Metaplanet may eventually prepare public bond offerings as the BitBonds program expands in scale.
